Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Mighty Cubs mobile applications, the Mighty Cubs website at https://www.themightycubs.com, and any related products or services owned and operated by SpruceX Inc. that expressly reference these Terms (collectively, the “Mighty Cubs Services” or the “Services”).

The Services are owned and operated by SpruceX Inc. (“SpruceX,” “we,” “our,” or “us”), a corporation incorporated under the laws of Ontario, Canada.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

If you are using the Services on behalf of a child, you confirm that you are the child's parent or legal guardian and that you accept these Terms on behalf of yourself and the child.

Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, and protect personal information.

The Mighty Cubs Services are designed for families and children.

Parents or legal guardians are responsible for creating and managing accounts and child profiles.

By using the Services, you represent that:

• You are legally able to enter into these Terms.
• If you create or manage a child profile, you have the legal authority to do so.
• The information you provide is accurate and kept reasonably up to date.

Children may use the Services only with the involvement and supervision of a parent or legal guardian.

Some features of the Mighty Cubs Services require a parent or legal guardian to create and manage an account.

You are responsible for maintaining the security of your account and for activities that occur through it.

You agree to notify us promptly if you believe your account has been accessed without authorization or if you become aware of a security issue affecting your account.

We may suspend or terminate accounts that violate these Terms or that threaten the security, integrity, or proper operation of the Services.

Some features of the Mighty Cubs Services require a paid subscription.

Subscriptions are purchased and managed through the applicable app store, including the Apple App Store or Google Play.

Unless otherwise stated at the time of purchase, subscriptions automatically renew at the end of each billing period until cancelled through the applicable app store.

Payments, renewals, cancellations, refunds, free trials, and billing are governed by the terms and policies of the applicable app store.

Deleting the Mighty Cubs app or deleting your Mighty Cubs account does not automatically cancel an active subscription. You must manage or cancel your subscription through the Apple App Store or Google Play, as applicable.

SpruceX Inc. does not process or store your payment card information.

If your subscription expires or is cancelled, access to premium content and features may be limited at the end of the applicable billing period unless the subscription is renewed.

We may introduce new subscription plans, pricing, free trials, or promotional offers from time to time. Any changes will be made in accordance with applicable laws and the policies of the relevant app store.

You agree to use the Mighty Cubs Services only for lawful purposes and in accordance with these Terms.

You agree that you will not:

• Use the Services in a manner that violates any applicable law or regulation.
• Attempt to gain unauthorized access to the Services or our systems.
• Interfere with the security, operation, or availability of the Services.
• Copy, modify, distribute, reverse engineer, decompile, or attempt to extract the source code of the Services, except where permitted by applicable law.
• Circumvent subscription or access controls.
• Introduce viruses, malicious software, or other harmful code.
• Use the Services in a way that could harm SpruceX Inc., other users, or the operation of the Services.

We may investigate suspected violations of these Terms and take appropriate action, including restricting or terminating access to the Services.

The Mighty Cubs Services — including the software, stories, illustrations, narration, artwork, graphics, animations, text, designs, music, audio, logos, and other content made available through the Services — are owned by or licensed to SpruceX Inc. and are protected by applicable intellectual property laws.

Subject to these Terms, SpruceX Inc. grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial family use.

Except as expressly permitted by these Terms, you may not:

• Copy, reproduce, modify, distribute, publish, or publicly display any portion of the Services.
• Reverse engineer, decompile, or attempt to extract the source code of the Services, except where permitted by applicable law.
• Remove or alter copyright or ownership notices.
• Create derivative works from, sell, license, or otherwise exploit any part of the Services without our prior written permission.
• Use any content from the Services for commercial purposes without our prior written permission.

These Terms do not transfer ownership of any intellectual property rights in the Services to you.

The Mighty Cubs Services may allow parents or legal guardians to provide limited information, such as child profile details, to personalize stories and learning experiences.

You represent that you have the legal right to provide any information submitted through the Services and that the information you provide is accurate to the best of your knowledge.

You remain responsible for the information you provide.

You may not submit information that:

• Infringes another person's intellectual property or other legal rights.
• Is unlawful, fraudulent, or misleading.
• Contains malicious code or attempts to interfere with the operation of the Services.

We work hard to keep the Mighty Cubs Services available and operating reliably. However, we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

From time to time, the Services may be unavailable due to scheduled maintenance, updates, technical issues, or circumstances beyond our reasonable control.

We may modify, suspend, or discontinue any feature of the Services at any time. Where reasonably practical, we will make efforts to provide advance notice of significant changes.

We may release updates, bug fixes, new features, or improvements to the Mighty Cubs Services.

Some updates may be required to continue using certain features or to maintain the security and reliability of the Services.

Your continued use of the Services after an update becomes available constitutes acceptance of the updated Services.

The Mighty Cubs Services are intended to provide educational, entertainment, and storytelling experiences for children and families.

While we strive to provide high-quality and age-appropriate content, the Services are not intended to replace professional educational, medical, psychological, or other professional advice.

Parents and legal guardians remain responsible for determining whether the content is appropriate for their child.

The Mighty Cubs Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, SpruceX Inc. disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or uninterrupted operation.

We do not guarantee that the Services will always be free from errors, interruptions, delays, or security vulnerabilities.

To the fullest extent permitted by applicable law, SpruceX Inc., its directors, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, the Mighty Cubs Services.

To the maximum extent permitted by applicable law, SpruceX Inc.'s total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to SpruceX Inc. for the applicable Services during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

You agree to indemnify and hold harmless SpruceX Inc., its directors, officers, employees, contractors, licensors, and service providers from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any applicable law.
• Information you provide through the Services.
• Your infringement of another person's rights.

This obligation survives the termination of these Terms.

We may suspend or terminate your access to all or part of the Mighty Cubs Services if we reasonably believe that:

• You have violated these Terms.
• Your use of the Services poses a security risk.
• We are required to do so by law.
• Continued access could harm the Services or other users.

You may stop using the Services at any time.

Termination of your access does not affect any rights or obligations that arose before the termination.

We may update these Terms from time to time to reflect changes to our Services, legal requirements, or our practices.

When we make material changes, we will update the Effective Date at the top of these Terms. Where required by law, we will provide additional notice or obtain consent before changes take effect.

Your continued use of the Mighty Cubs Services after updated Terms become effective constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles. Nothing in these Terms limits any rights you may have under applicable consumer protection or other laws in your country or region of residence.
